Action Plan of Shanghai Municipality for Continuously Creating a World-class Business Environment by Adhering to Reform
It is an important task assigned to Shanghai by the CPC Central Committee and the State Council to take the lead in creating a market-oriented, law-based and world-class business environment. In 2024, Shanghai follows the guidance of Xi Jinping Thought on Socialism with Chinese Characteristics for a New Era, implements in an in-depth manner the essence of the important speech delivered by General Secretary Xi Jinping during his visit to Shanghai and his important instructions and requirements for the work of Shanghai, abides by the principle of system integration and continuous iterative upgrade, and takes marketization as the distinctive theme, the rule of law as the basic support, and internationalization as the important standard. In this regard, this Action Plan is formulated with a view to better serving Shanghai's building of the "five centers" and the upgrading of its core functions, continuing to create a world-class business environment featuring great trade and investment facilitation, highly efficient administration, standardized government services, and a full-fledged legal system.

I. Initiatives of Upgrading by Adhering to Reform
1. Market access. Improve the service of the "Shanghai Online Business Registration" platform, and synchronously integrate the registration service for individual industrial and commercial households and farmers' professional cooperatives thereinto. Fully implement the system of name declaration commitment, and improve the mechanism for resolving disputes over name verification. Establish an information database of enterprise domicile standardized registration, and rely on the data to verify and simplify enterprise domicile registration materials. In light of the urban and rural community service system building, provide registration domiciles for individual industrial and commercial households in the resident service industry. Standardize the identification and management of centralized registration domiciles, and guide enterprises in centralized registration domiciles to operate in compliance with law. In accordance with the national beneficial owner information filing system arrangements, timely conduct beneficial owner information filing. Relying on the national unified electronic business license system and the "business entity identity code", comprehensively promote the application of "one enterprise, one photo, one code", and launch more forward-looking, leading and inclusive innovative application scenarios. Explore ways to promote the automatic update of enterprise registration information in the service systems of relevant departments after changes of the relevant information.
2. Obtaining business premises. Deepen the integrated reform by focusing on key areas such as linking construction permits with planned land approval, intermediary services, regional evaluation, and the land use listing system. Consolidate the achievements of the reform of "integrating multiple examinations, multiple certificates, multiple tests and multiple acceptance matters" for planning resources, and of the reform of real estate registration. Deepen and expand the pilot reform of the architect responsibility system, the commitment system for enterprise investment projects, etc., implement the system of insurance for potential defects in the quality of residential projects, and try out the notification and commitment system for general projects in the field of fire prevention and control examination and acceptance. Iterate and optimize the service function of "one system" in the whole process of engineering construction project approval. Deepen the entity construction of district-level examination and approval centers, and consolidate the achievements of the reform of "examination and approval done under one roof". Optimize cross-departmental and cross-regional approval services and collaborative work processes, and promote data governance and connectivity among the systems. Launch a unified "one-stop" online inspection platform for due diligence of property burdens, etc.
3. Public facility services. Finish building a unified citywide underground pipeline database, and launch the service of the Report on Pipeline Information Analysis of the roads around the projects. Construct civil engineering, comprehensive pipe corridors, etc. moderately ahead of the current needs. Deepen and promote the reform of the examination and approval mechanism for digging and occupying roads, and continue to provide more convenience to the relevant business handling. Establish and improve the key performance indicator system for power sustainability, and release relevant data regularly. Implement regulatory policies on environmental sustainability in the water supply sector, and publish information on water price, reliability of water supply, water quality online, etc. Guarantee the right of way for communication infrastructure, and incorporate communication infrastructure into the territorial spatial planning, regulatory plans and land transfer conditions, so as to ensure that the infrastructure that should be built can be built. Continue to carry out initiatives to improve broadband access in commercial buildings, so as to further ensure the fair broadband access in commercial buildings, strengthen administration in the two aspects of project construction and operation, and incorporate relevant information into the business environment assessment of each district.
4. Labor and employment. Optimize and improve the public employment and recruitment platform in Shanghai, and promote the building of the "human resources flagship store". Guide the districts where conditions permit to explore the shared employment mechanism of the parks in light of these districts' regional economic development and industrial characteristics, and create a job market for gig workers with distinctive characteristics. Continue to work to create harmonious labor relations. Optimize the mechanism of labor dispute resolution, and improve the efficiency of case handling. Deepen the "reform of one-stop acceptance" of labor supervision and arbitration cases. Promote the establishment of expedited arbitration courts/teams for disputes over migrant workers' wages.
5. Financial services. Implement relevant regulatory policies on green financing, guaranteed transactions, electronic payment and other fields, and optimize and improve the mechanisms for implementing them. Promote the implementation of green credit-related policies, and encourage enterprises to proactively submit environmental, social, and governance risk reports when applying for green loans. Support enterprises to apply for guarantee financing with their own accounts receivable, and where government organs and public institutions as payers receive the demand for right confirmation, confirm the debtor-creditor relationship in time. Implement the long-term mechanism of "daring to lend loans, willing to lend loans, able to borrow loans, and able to use loans correctly and rationally", raise the efficiency of enterprise financing connection and loan approval and issuance, and promote the incremental expansion of inclusive small and micro loans. Promote the incremental expansion of the application of big data inclusive finance, and strengthen the building of the "efficient credit rating and loan issuance" (https://xyd.creditchina.gov.cn/), bank-tax interaction, and Shanghai local credit platforms, and the innovation of relevant products and services. Optimize the function of the unified registration and publicity system for chattel financing, so as to further improve the convenience of registration and inquiry.
6. International trade. Improve the construction of a "single window" for international trade in Shanghai, upgrade mobile client services, and build a cross-border data exchange system. Strengthen the cultivation and service of AEO (Authorized Economic Operator by China Customs) enterprises, and continue to promote the implementation of the joint incentive measures for such enterprises. Steadily advance the acceptance of the inspection results, and explore trials of accepting such results of bulk resource commodities. Optimize the port inspection process, and expand the business model of early machine inspection and opportunistic machine inspection. Improve the access standards for the fast-track review of tax reduction and exemption, and guide the import enterprises of integrated circuits, new display devices, and aviation materials used for maintenance to submit applications for tax reduction and exemption in the mode of "fast track review + ERP networking". Accelerate the building of such systems as intelligent cargo stations at air ports, import and export cargo inspection centers, AviPort, etc., and improve the service capacity and informatization level of air ports.
7. Tax payment. Regularly disclose taxpayers' opinions and suggestions, and issue white papers on the tax-related business environment, so as to enhance the information transparency on tax collection and administration. Explore the establishment of a tax prior ruling system and working procedures. Deepen the reform for enterprises' cancellation process featuring "one-stop online handling", optimize the online correction and declaration process of the electronic tax service, promote the application of the "Natural System Direct Connection" service, realize the one-key import of key data on the enterprise side, and continuously improve the convenience of tax payment. Do a good job in the interactive service of Golden Tax Phase IV, and build a new tax service mode of "accurate push, intelligent interaction, handling and questioning coordination, and whole-process interaction". Study and clarify the summary trial procedure of administrative reconsideration for this Municipality's tax system. Provide targeted push and guidance on tax and fee reduction policies, and ensure that policies are easily accessible. Continue to promote the comprehensive digital application of electronic invoices.
8. Resolving commercial disputes. Improve the mechanism of diversified dispute resolution, give full play to the functions of non-litigation dispute resolution centers at all levels, and establish a mechanism of one-stop diversified resolution including litigation, arbitration and mediation for foreign-related commercial disputes. Promote the implementation of local legislation supporting policies for the Shanghai International Commercial Arbitration Center, and support the establishment of world-class arbitration institutions. Promote the local legislation process of commercial mediation, vigorously develop commercial mediation, optimize the building of the "One Thing" integrated platform for dispute resolution, and significantly increase the number of commercial disputes resolved through mediation. Accelerate the building of "digital courts", further optimize functions such as intelligent trial assistance, whole-process litigation supervision, online payment of fees, real-time tracking of the handling progress, and online inquiry of the trial time, and strengthen the application thereof in the field of execution. Continue to optimize reform measures such as rapid adjudication and the "random and automatic case division system", increase the proportion of electronic delivery, and make public key data on quality and effect such as the average time, cost, and the case closing rate. Strengthen oversight of high-frequency assessment and appraisal matters, and urge intermediary agencies to standardize their fee collection and perform their duties diligently. Enhance the procedural guidance to the parties concerned, and further increase the application rate of small-amount litigation procedures.
9. Promoting market competition. Strengthen the publicity and implementation of the Anti-monopoly Law of the People's Republic of China and its supporting regulations, guides and guidelines. Implement the project of inclusive public services for intellectual property rights, and promote the centralized acceptance of public services in patents, trademarks and other fields. Improve the mechanism of assisting overseas intellectual property rights protection and the mechanism of coordinated protection of intellectual property rights. Launch a special campaign of patent commercialization and application, strengthen the chain and raise the efficiency of intellectual property in key industries, and conduct the filing of patent products in all industries. Carry out the special action of "entering one network and being tradable", and promote the data sharing, function connection and scene integration of the general and branch platforms. Optimize and improve the system of bid invitation and bidding rules, and explore the establishment of rules for the supervision on post-bid contract performance. Strengthen the connection between the bid invitation and bidding system and the systems of the finance, tax and other departments, as well as banks, promote the use of electronic guarantee for bid bond and performance bond, and explore the realization of the whole-process online handling of electronic payment, electronic invoice and electronic guarantee for government procurement projects. Carry out special rectification campaigns in the field of government procurement, focusing on illegal activities such as purchasers' setting differential discriminatory clauses, agencies' arbitrary fee collection, suppliers' provision of false materials, suppliers' together-conspired or collusive bidding, etc.
10. Handling of bankruptcy. Improve the mechanisms of separation of the complicated and simple bankruptcy cases, expedited trial of simple cases, transfer of execution cases for bankruptcy review, etc. Study and explore the market support mechanism of out-of-court restructuring. Establish and improve the bankruptcy protection mechanism for micro, small and medium-sized enterprises. Improve the service function of Shanghai Enterprise Restructuring Affairs Center. Improve the credit repair mechanism for bankrupt and reorganized enterprises. Improve the whole-process online handling of bankruptcy cases in Shanghai courts. Build an online inquiry mechanism for the information involved in bankruptcy cases. Improve the mechanism for government departments to ensure the market-oriented operation of bankruptcy handling. Deepen the research on the composition of bankruptcy fees and industry regulatory mechanisms, and optimize the government-set charging standards for judicial authentication. Comprehensively promote the implementation of the provisions of Pudong New Area on improving the market-oriented and law-based enterprise bankruptcy system, and actively explore the reforms of pre-restructuring, simple restructuring, application for nomination of managers, etc.
II. Initiatives of Upgrading Services for Enterprises
1. Government services. Increase the concentration of enterprise services to the government service centers of all districts, support these centers to provide enterprises with professional services in talent, financing, scientific innovation, law and other aspects, and consolidate the online and offline assistance system. Improve the system support of "enjoying service with no need for application", and promote the "enjoying service with no need for application" in preferential policies and services for enterprises, such as administrative payments, financial subsidies, and tax incentives. Continue to deepen the reforms of "one industry, one certificate", "efficiently accomplishing one thing", the notification and commitment system for certification matters, etc., and strengthen data sharing, avoid repeated submission of materials, so as to maximize the convenience for enterprises and the people. Build a services brand of "smart and easy handling", and provide enterprises and the people with intelligent services such as intelligent pre-filling, intelligent pre-examination, automatic approval, and other services. Continue to iterate and upgrade the "Government Online-Offline Shanghai" enterprise end service, so as to create an enterprise exclusive space with direct policy sharing, and direct access to service and appeal. Iterate, upgrade and promote the "Guides of Shanghai Enterprise Business Handling".
2. Policy services. Study and formulate the whole-process working standards for the preferential policies for enterprises, and optimize the online and offline service process as a whole. Rely on the enterprise service cloud platform to upgrade the "one-stop window for preferential policies for enterprises", improve the "policy supermarket", realize one-window overview, browsing and declaring linkage, and one-stop query, promote the use of artificial intelligence technology to achieve accurate push and declaration connection, and effectively increase the convenience of high-frequency policy declaration. Build a live broadcasting platform for policy publicity, and encourage the use of enterprise perspective and market discourse system to carry out policy interpretation. Together with various associations and chambers of commerce, actively carry out a series of activities to specially interpret hot policies for all kinds of enterprises. Promote and implement the "service package" mechanism for key enterprises, and actively respond to their customized appeal.
3. Industrial park services. Explore and formulate service guidelines for the improvement of business environment in industrial parks, guide industrial parks or buildings to continuously upgrade their professional services, and carry out the initiatives of constructing "business environment demonstration parks/buildings". Implement policies for cultivating high-quality incubators and raise the efficiency of transforming scientific and technological advancement. Encourage industrial parks to innovate mechanisms, integrate resources, and continually enhance production factors such as talents, land, and capital, in order to fully establish a vibrant innovation and entrepreneurship ecosystem, as well as a conducive working and living environment for youth and families. Empower industrial parks with municipal- and district-level enterprise service resources, explore the establishment of public service stations within the parks, and serve as attentive "shop assistants". Strengthen measures to remove the last hurdle in publicizing policies, organize and carry out activities such as introducing policies into industrial parks, and strengthen the capacity building of grass-roots policy service teams. Simplify the procedures of project introduction in strategic reserved areas, so as to speed up the implementation of projects.
4. Foreign-related services. Strengthen the building of an "international service portal", integrate various foreign-related service resources, and promote the centralized release of foreign-related policies in multiple languages. Establish a standardized cooperation platform for foreign-invested enterprises in Shanghai Municipality, so as to improve public participation and publicity transparency in standard formulation. Leverage the role of the municipal special team mechanism for major foreign-invested projects, strengthen the services, and promote the projects to be initiated as soon as possible. Hold the Shanghai City Promotion Conference to promote and demonstrate Shanghai’s first-class business environment in all aspects to domestic and overseas investors. In more central urban areas, expand the scope of "a one-stop window for foreigners' work and residence" for handling permits, from Class A work permit for foreigners to Class B, so as to make it more convenient and efficient for foreigners to get the permits. Promote application of the new version of foreigner permanent residence ID card, i.e., the Five Star Card, in more convenient application scenarios in Shanghai.
III. Initiatives of Improving the Quality of Regulation and Law Enforcement
1. Comprehensive supervision. Strengthen information disclosure, and make public the annual administrative inspection plans of all departments in advance. Explore new modes such as "one joint inspection for matters in one industry" and "one comprehensive inspection", with departments' joint "random inspection of sampled objects and inspectors, and timely publicity of the inspection and handling results" as the basic method, where two or more departments carry out different administrative inspections on the same regulatory subject and can be conducted simultaneously, cross-departmental joint inspections should be implemented in principle. Except for cases involving complaints, referrals from higher authorities, referrals from other agencies, or special actions in specific areas, inspections should generally not exceed twice a year. Promote the application of "inspection codes", further standardize administrative inspections involving enterprises, and carry out assessments of the effectiveness of administrative inspection and regulation. Further improve the benchmark for administrative law enforcement discretion, deepen inclusive and prudent regulation, expand in accordance with law the scope of matters which are subject to no administrative penalties, and refine the standards for the matters which are subject to reduction of administrative penalties. Establish a list of key industries and sectors to be under cross-departmental comprehensive regulation and make dynamic adjustments thereof. Integrate regulatory rules and standards in the industries and sectors of food, medical products, medical devices, hazardous chemicals, gas, special equipment, construction engineering quality, etc., and establish a comprehensive regulatory mechanism for the coordination of approval, administration, implementation, credit and other departments, with scenario application as a breakthrough. Comprehensively promote the application of the citywide unified comprehensive law enforcement system in law enforcement units at the municipal, district and sub-district/town levels, and realize the traceable administration of the whole process of law enforcement activities. Severely investigate and punish illegal and criminal acts, such as intellectual property rights infringement, unfair competition, duty encroachment, etc. that affect the healthy development of the market and the normal operation of enterprises, in order to effectively maintain market order.
2. Smart regulation. Promote the use of big data, artificial intelligence, Internet of Things perception, blockchain and other technologies to enable off-site inspection, realize "remote administration", "convenient classification" and "early intervention", and do not carry out on-site regulation any more where off-site regulation can achieve the expected regulatory purpose and effects. For prepaid consumption fields with high credit risk and concentrated complaints, such as beauty treatments, hairdressing, sports and fitness, formulate a list of comprehensive regulation risk points and establish an early warning index system for risk management, enabling prompt identification and awareness of risks and potential hazards, and facilitating early warnings, and timely detection and resolution. Build a digital market regulation system that features integration of standards at upper and lower levels, interconnection of data, deep integration of intelligence, accurate perception of situation, and regional demonstration and coordination.
3. Credit regulation. Improve the regulation mechanism of credit evaluation, rating and classification, and implement differentiated regulatory measures. Strengthen the linkage between enterprise credit and law enforcement inspection in the field of market regulation. For enterprises that have a good credit record, in principle, do not actively carry out inspection, and conduct "event trigger" inspection thereover instead according to the clues such as complaints, offence-reporting, and transfer/handing-over; for the enterprises with average credit risk, conduct sampling inspection according to regular proportion and frequency; for enterprises with illegal activities, dishonesty, or higher risk, appropriately increase the proportion and frequency of sampling inspection. Dynamically adjust the basic list of disciplinary measures for market regulatory departments for dishonesty. Improve the classified repair system of public credit information, and explore facilitation measures such as information sharing of trust-breaking behavior correction, intelligent pre-filling of application information, real-time calling of electronic seals, etc. Launch a special campaign to clean up defaulting on enterprises' accounts receivable, strengthen monitoring over information disclosure, and incorporate the dishonesty information of government departments and state-owned enterprises into the assessment of government integrity and state-owned enterprises.
4. Regulation of new industries, new forms of business and new models. Strengthen the overall coordination and clarify the division of responsibilities, where the regulatory responsibilities are unclear or controversial. Support the R&D center of the headquarters of food enterprises to superimpose the food production function and implement the new model of "R&D + production", so as to realize the "dual use of one site" and "Industry's Going Upstairs". Promote the system of a list of no imposition of administrative sanction or administrative coercion in the field of market regulation, and continue to deepen inclusive and prudent law enforcement.
5. Regulation of compliance guidance. Continue to improve the compliance administration system for small and medium-sized enterprises, promote the normalized "legal examination" and "compliance examination", and guide enterprises to enhance their own compliance. Strengthen compliance guidance for business entities in public security, fire protection, ecology and environment protection, cultural market, health, human resources and social security, and other law enforcement fields. Formulate compliance guidelines for finance, intellectual property, artificial intelligence, medical and life sciences, and other relevant sectors, guide enterprises to improve their internal management processes and strengthen self-supervision. Pilot and promote the "compliance notification system for new business entities". Study and formulate categorized effective compliance review standards, standardize the acceptance methods, scoring system, compliance standards, etc.
IV. Initiatives of Regional Innovation Demonstration
1. Building a comprehensive demonstration zone for business environment in Pudong New Area. Continue to expand the categories of imported products exempted from compulsory certification as provided in the special administrative measures. Carry out trials to reform the registration of business areas. Encourage the formulation of enterprise joint standards. Standardize and expand the application scenarios of digital RMB. Carry out trials to build a priority recommendation mechanism for the mediation of disputes over intellectual property infringement. Explore that specific arbitrators arbitrate the relevant disputes by applying specific arbitration rules in Pudong New Area if the parties to foreign-related commercial disputes registered in Pudong New Area agree so at his/her own. Explore the business environment optimization plan for the whole industrial chain of the development of the biomedical industry. Continue to create business environment with science and technology innovation characteristics in Zhangjiang Science City, promote the opening of major science and technology infrastructure to all kinds of domestic and foreign innovation entities, gather technology platforms, financial services, innovation incubation and other service institutions, so as to create a first-class innovation ecology.
2. Building a highland of institutional innovation for business environment in Lin-gang Special Area. Relying on the Lin-gang Special Area Data Cross-border Service Center, serve the transfer of enterprise data overseas in compliance with law. Establish and operate the Lin-gang Special Area Branch of the Municipal Intellectual Property Protection Center. Build a one-stop service mechanism for localized case acceptance, mediation, arbitration and trial of foreign-related labor and personnel disputes within the industrial and city integration zone of Lin-gang Special Area. Promote the quality and efficiency improvement of the Lin-gang Special Area Legal Service Center, and build a link channel between enterprises and legal service institutions in the Area. Improve the regional assessment mechanism, and promote the full use of the regional assessment results. Promote the integrated development of the industrial chain, innovation chain and service chain, and explore customized business environment optimization plans for the whole industrial chains for the development of key industries in Lin-gang Special Area.
3. Creating business environment with international trade characteristics in Hongqiao International Central Business District. Deepen the development of a demonstration zone for import trade promotion and innovation, and optimize the trade environment. Promote the Hongqiao International Central Business District to build a radiation leading zone of the "Silk Road E-commerce" pioneering cooperation zone, take the lead in piloting international high-standard rules for e-commerce, and explore a new model featuring mutual benefit and win-win cooperation. Promote the building of Hongqiao International Business Talent Port, Hongqiao International Central Legal Service District, and a one-stop comprehensive service center for foreigners, and optimize the comprehensive services for enterprises to "go global".
4. Creating business environment with district-specific characteristics in every district. Encourage all districts to carry out pilot projects of innovation in business environment in the light of their respective industry development characteristics and work foundations, in the fields of enterprise services, policy services, appeal settlement, regulation and law enforcement, compliance guidelines, financing docking, intellectual property protection, fair competition, commercial dispute resolution, etc., so as to create business environment with regional characteristics. Support the five new cities, Shanghai Chemical Industry Park, Changxing Island and other regions in strengthening industry value-added services to create business environment with unique characteristics.
V. Joint Action to Enhance Business Environment
1. Strengthening cooperation between government, enterprises, society and academia to enhance business environment. Establish a regular and institutionalized communication mechanism featuring government-enterprise interaction, municipality-district linkage, and coordination of chambers of commerce. Extensively solicit opinions and suggestions for enhancing the business environment through engagement with a range of social actors including media, think tanks, business associations, and universities, addressing pressing challenges and complex needs faced by business entities. Form to-do lists in batches and work together to promote problem solving. Strengthen the administration of enterprise-related statistical survey projects, guide all districts to strengthen the sharing of enterprise-related data by relying on the basic information platform of key enterprises in parks and buildings, so as to avoid enterprises filling in multiple and repeated forms and statements of all kinds.
2. Strengthening the perceived experience of business environment. Continue to implement initiatives for senior officials to go through the process, and enhance the experience of enterprises in handling matters with the government. Improve the working mechanism of "Business Environment Experience Officer", and further enhance the reputation of "Business Environment Experience Officer". Give full play to the role of channels and platforms such as the enterprise service hotline, the enterprise service cloud, the foreign-funded enterprise roundtable session, etc., take effective measures in terms of appeal collection, implementation supervision, result feedback, incentives and constraints, and other relevant aspects, build an efficient mechanism of supervision over whole-chain closed-loop problem solving. Select some high-frequency items and business-related policies to assess the effect of business environment reform.
3. Strengthening the assessment and evaluation of business environment. Dovetail with the national assessment of business environment, and take the initiative to undertake national pilot tasks. Optimize the assessment of business environment in all districts, balance the level evaluation and work performance evaluation, and effectively promote the improvement of business environment through evaluation. Encourage all regions to explore optimal practices for enhancing the business environment based on local circumstances, and promptly replicate them.
4. Strengthening joint action in improving the business environment in the Yangtze River Delta. Promote the integrated service of inter-provincial special windows and remote virtual windows in the ecological and green integrated development demonstration zone of the Yangtze River Delta, deepen data sharing and application, and promote inter-provincial administrative collaboration. Improve the function of the "Credit Yangtze River Delta" platform, so as to strengthen the interconnection, sharing and application of credit information. Strengthen the building of a unified credit regulation system and standard system in the Yangtze River Delta, and promote the unification and mutual recognition of cross-regional standards. Promote the joint mediation and coordinated arbitration of labor disputes in the Yangtze River Delta. Deepen cooperation in the protection of intellectual property rights and trade secrets in the Yangtze River Delta. Regularly exchange experience in reforming business environment to promote mutual learning.
5. Reinforcing efforts to publicize and promote the conducive business environment. Include the promotion of business environment in the key work of municipal publicity, and strengthen all media publicity to further enhance the influence of Shanghai’s business environment.
