Notice on Matters Related to the Registration of Social Service

Organizations (Private Non-Enterprise Units)

I. Applications for establishing a social service organization (private non-enterprise unit) shall comply with the provisions of the Interim Regulations on Registration Administration of Private Non-enterprise Units and the Interim Measures for the Registration of Private Non-enterprise Units.

II. The name of a social service organization (private non-enterprise unit) shall be consistent with its operation scope and public benefit purposes, composed sequentially of the administrative division name, trade name, the industry (or business) field, and organizational form, and in line with the Measures for the Administration of Names of Social Organizations.

III. The domicile of a social service organization (private non-enterprise unit) means its office premises, which shall be registered using the detailed address including municipality, district, township (town), and street number. Proof of property ownership or use rights valid for not less than one year shall be furnished for such premises.

IV. The legal representative of a social service organization (private non-enterprise unit) shall typically be the chair of the board of directors, a vice-chair of the board of directors, or the administrative head of the organization.

V. The registered capital of a social service organization (private non-enterprise unit) shall meet the minimum threshold prescribed for its sector of activity. Where no such threshold exists, the registered capital for organizations (units) registered at the municipal-level registration authorities shall generally be not less than 100,000 yuan. Organizations (units) registered at district-level registration authorities shall comply with capital requirements determined by the respective district authority. In all cases, non-state-owned assets shall constitute not less than two-thirds of the registered capital.

VI. Where alterations to a social service organization's (private non-enterprise unit's) registered particulars result in inconsistency with the jurisdictional scope of its original registration authority while remaining within Shanghai's administrative area, the organization (unit) may complete deregistration procedures at the original registration authority and subsequently apply for registration with the corresponding registration authority.

When applying for registration at the new jurisdiction, the organization (unit) shall satisfy all statutory registration requirements and concurrently complete the modification registration of its name, domicile, and competent authority and submit its amended constitution for statutory re-approval.

VII. The constitution of a social service organization (private non-enterprise unit) shall articulate its non-profit purpose and mission and explicitly stipulate that any surplus and residual assets upon dissolution shall be dedicated exclusively to public benefit undertakings, with express prohibition of distribution to any party.

VII. The duplicate registration certificate of a social service organization (private non-enterprise unit) shall have a maximum validity period of four years. Where the organization's or unit's business activities require pre-approval permits or approval, the validity period of the duplicate registration certificate shall align with the validity period of such permits or approval documents and in no case exceed four years.

IX. For social service organizations (private non-enterprise units) undergoing direct registration, where separate provisions exist such as the Several Provisions of Shanghai Municipality on Direct Registration Management of Social Organizations, such provisions shall prevail.

X. This Notice shall be effective as of May 1, 2025 and remain effective until April 30, 2030. The Notice of Shanghai Civil Affairs Bureau on Issuing the Implementation Measures for the Registration of Shanghai Social Service Organizations (Private Non-Enterprise Units) (SMCAB D [2020] No.11) shall be simultaneously repealed.
