For the change of registration of foreign-invested partnership enterprises or foreign-invested partnership branches, the following documents are to be prepared and submitted:

Application Materials

1. Application form for partnership enterprise registration (filing) (mandatory);

2. If the change in registered items involves modifying the partnership agreement, the revised resolution signed by all partners or designated individuals specified in the partnership agreement (mandatory);

3. For a change in registered items modifying the partnership agreement, the revised or supplementary partnership agreement (mandatory);

4. For a change in the business domicile, relevant documents concerning the modified premises' usage (non-mandatory);

5. For changes in the business scope requiring prior approval according to laws, administrative regulations, or State Council decisions, relevant copies of approval documents or licenses (non-mandatory);

6. For changes in partners' residences, documents of changes in partners' residences (non-mandatory);

7. For changes in the executing partner, a partnership agreement or a resolution signed by all partners, along with copies of the new executing partner's qualification documents or identification (non-mandatory);

8. For changes in the name or personal name of a partner or executing partner, or when an appointed representative has changed, their name, certificates of name or name change, and copies of the new qualification documents or identification after the change (non-mandatory);

9. For changes in a legal entity or representatives appointed by other organizations to conduct partnership affairs, copies of the new representative's identification and the appointment letter for the new representative (non-mandatory);

10. For a general partnership enterprise changing into a specific general partnership enterprise, if laws or administrative regulations require submission of professional qualification certificates of partners, the corresponding documents (non-mandatory);

11. For changes in the amount of investment, addition, or reduction of partners contributing to the partnership enterprise, the revised or supplementary partnership agreement (non-mandatory)

12. If changes require approval according to laws, administrative regulations, or State Council provisions, approval document copies (non-mandatory);

13. Returning the original and duplicate copies of the business license if a paper version has been issued (mandatory);

14. For recorded subscribed or actually paid amounts, payment deadlines, and methods, a list of all partners and investment status and any revised or supplementary partnership agreements (non-mandatory);

15. For changing the registration contact person, a completed contact person information form and a copy of the contact person's identification (non-mandatory);

16. In the case of changing the recipient of legal documents for overseas investors, and if the authorized person is a natural person, submitting a Letter of Attorney for Service of Legal Documents of Foreign Investment Enterprises along with a copy of the authorized person's identification (non-mandatory).

Application Procedure

1. Submission of complete and legally formatted documents:

(1) The registration authority confirms and completes the change of registration on the spot.

(2) If immediate change of registration is not possible, the registration authority completes the change of registration within three working days. In cases of complex situation, with approval from the person in charge at the registration authority, an additional three working days can be granted.

2. Incomplete or improperly formatted documents:

The registration authority informs the applicant of the materials requiring correction.
